1. Introduction

Winding-up (termination) of a DMCC Company is governed by DMCC's Company Regulations and administered entirely through the DMCC Member Portal. this proposal is scoped to the winding-up of a DMCC Company.

Key features include:

DMCC will first contact the shareholder, officer or authorised representative to check whether the company can be retained, before the winding-up proceeds

Upon approval, all portal access is deactivated and reassigned to the appointed Liquidator, and DMCC publishes the winding-up notice for a mandatory 14 calendar-day period

2. Required Documents

The following documents may be required to submit the Company winding-up application; the exact list depends on the shareholder structure and the mode of winding-up selected:

4. Scope of Winding-Up Services

InBusiness provides end-to-end support for the DMCC Company winding-up process:

Guidance on selecting the appropriate mode of winding-up (Summary, Solvent, or Insolvent Voluntary) based on the company's circumstances

Submission of the winding-up Service Request (SR) on the DMCC Member Portal, including selection of Standard or Non-Standard Resolution

Preparation and coordination of signing of the required resolutions, declarations and Power of Attorney, where applicable

Coordination of the Liquidator's appointment and confirmation, and preparation of the Liquidation Report

Coordination of NOC from third-party regulators (for regulated activities) and Customs Clearance (for trading/industrial licences), where applicable

Coordination of cancellation of active visas, access cards and permits issued by DMCC

Booking of the Member Engagement Centre appointment to submit original documents, where required

Monitoring of the mandatory 14-calendar-day publication period and the DMCC Registrar's review

Handover of the final E-Termination Letter on completion
