1. Introduction

Winding up an IFZA company is a voluntary liquidation under Regulation 107 of the DIEZA Implementing Regulations 2023, de-registering the company from the register maintained by the Registrar of Companies at Dubai Integrated Economic Zones (DIEZA). The process is administered through the IFZA Partner Portal and requires a licensed UAE auditor to issue the Liquidation Report and act as Liquidator.

Where the company holds active visas, these must be cancelled — along with the licence — before the Establishment Card can be cancelled; dependent visas must be cancelled or put on hold first

Penalties of AED 1,000/month apply to the licence and a further AED 1,000/month to the Establishment Card once expired, and cannot be stopped until the liquidation is completed

All above mentioned fees are exclusive of 5% VAT. The InBusiness service fee is payable in two equal installments 50% before commencement and 50% after completion of the liquidation.

4. Scope of Liquidation Services

InBusiness provides end-to-end support for the IFZA licence cancellation and liquidation process:

Coordination with a licensed UAE auditor to obtain the Liquidation Report addressed to Dubai Silicon Oasis, including recommending an auditor from IFZA's approved list where needed

Preparation of the Shareholder Resolution for Liquidation on IFZA's required template, and coordination of signing by all shareholders

Coordination of the appointment of the auditor as Liquidator and of an authorised signatory for the liquidation, per the Shareholder Resolution

Submission of the licence cancellation requirements and payment through the IFZA Partner Portal

Where the company holds visas: coordination of dependent visa cancellation/hold via the AMER centre, preparation of the End of Service Entitlement form for each visa holder, and submission of the visa cancellation request

Collection of confirmation of new visa status (change of status or exit stamp) for visa holders cancelling while inside the UAE

Coordination of Establishment Card cancellation following completion of visa cancellation

Ongoing liaison with IFZA through to final licence cancellation and de-registration
